Terms of Service

Effective: July 14, 2026

1. Acceptance of terms

By accessing dealgradeos.io, scorecard.dealgradeos.io, or any other Dealgrade-operated subdomain, or by purchasing any Dealgrade product, you agree to these Terms of Service. If you don't agree, don't use the site or purchase the products. References to "the site" in these terms include both the marketing site and the Scorecard application.

2. The products

Dealgrade sells three bundled tiers. Each tier includes everything from the tiers below it.

• Tier 1: Commercial Leakage Scorecard ($500). A self-serve diagnostic delivering a scored report, maturity benchmarks, and ranked fix list. Includes a $500 credit toward the Deal Desk OS, valid for 45 days from the date of purchase.
• Tier 2: Scorecard + Deal Desk OS ($3,000 bundle). Everything in Tier 1, plus the Deal Desk OS: a personalized web workspace at app.dealgradeos.io with live trackers and Command Center pages that localize to your company, backed by a downloadable kit of templates and frameworks, and year one of Living OS (see section 3). If you buy the Scorecard first and add the Deal Desk OS a la carte, the price is $3,000 with your $500 Scorecard credit applied, for $2,500 net.
• Tier 3: Scorecard + Deal Desk OS + Workshop ($5,000 per seat). Everything in Tier 2, plus a live, limited-availability, two-day in-room cohort led by the founder.

3. Living OS and your access

Every Tier 2 and Tier 3 purchase includes year one of Living OS. Living OS covers policy and artifact updates and a quarterly re-score cadence, plus team workspace support for your seats, so your Deal Desk OS stays current as your business changes.

Your access to the Deal Desk OS, the downloadable kit, and every update we have already delivered to you is permanent and survives non-renewal. Renewal buys only the forward stream: new updates and artifacts, plus the quarterly re-score cadence. If you let Living OS lapse, everything delivered to you up to that point remains yours, and only the forward stream stops.

After year one, Living OS renews at $1,200 per year. Renewal is optional. You keep full use of what you already hold whether or not you renew.

The Scorecard credit works as follows. A Tier 1 Scorecard purchase includes a $500 credit toward the Deal Desk OS, valid for 45 days from the date of your Scorecard purchase. If you add the Deal Desk OS a la carte within that window, the credit reduces the $3,000 Deal Desk OS price to $2,500 net. The credit has no cash value and cannot be applied to Living OS renewals.

4. License to use materials

When you purchase a product, you receive a non-exclusive, non-transferable license to use the materials within your own organization for the operation of your business.

You may not: (a) resell, redistribute, or sublicense the materials; (b) post the materials publicly; (c) use the materials to create a competing product or service; or (d) share access credentials with anyone outside your organization.

Workshop seats are personal and non-transferable. If you can't attend, contact us about rescheduling to a future cohort, subject to availability.

5. Intellectual property

All Dealgrade materials, including the Scorecard methodology, Deal Desk OS workspace and kit, Workshop curriculum, and the dealgradeos.io site, are the intellectual property of Hagemann Advisory Group LLC d/b/a Dealgrade and are protected by copyright and other applicable laws.

6. Payment and billing

All prices are in U.S. dollars. Payments are processed by Stripe and are subject to Stripe's terms and conditions. You agree to provide accurate billing information and authorize us to charge your payment method for the products you purchase.

7. Refunds

Refund eligibility is governed by our Refund Policy, which is incorporated into these terms by reference.

8. Workshop conduct

The Workshop is a confidential environment for operators to share specifics about their pricing, deal desk, and revenue operations. By attending, you agree to keep all information shared by other participants confidential and not to record sessions without written permission.

9. Disclaimer of warranties

The products are provided "as is." We make no representations or warranties of any kind, express or implied, regarding the products' suitability, accuracy, or fitness for a particular purpose. We don't guarantee specific business outcomes from using the products.

10. Limitation of liability

To the maximum extent permitted by law, Dealgrade and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the products. Our total liability for any claim arising from your use of the products will not exceed the amount you paid for the product giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Dealgrade against any claims arising from your misuse of the products or violation of these terms.

12. Governing law

These terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles. Any dispute will be resolved the state or federal courts located in Hamilton County, Indiana.

13. Changes to these terms

We may update these terms from time to time. The effective date above will reflect the most recent change. Continued use of the site or products after a change constitutes acceptance of the updated terms.

14. Grandfathered purchases

Purchases completed before the effective date of these updated terms keep their original terms, including lifetime access to updates at no charge. The pricing and Living OS changes described above apply only to purchases made on or after that effective date.
